1. Acceptance of These Terms

Welcome to shopthe99.boutique (the "Site"), operated by Ninety Nine Boutique LLC ("Ninety Nine Boutique," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Site, our products, and any related services (collectively, the "Services").

By accessing, browsing, registering an account, placing an order, or otherwise using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Site.

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase from the Site. Minors may only use the Site with the involvement of a parent or legal guardian.

2. Changes to the Terms

We may update these Terms at any time. When we do, we will revise the "Last Updated" date above and, where appropriate, notify you through the Site or by email. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

3. Account Registration

You may browse most of the Site without an account, but certain features (such as saved carts, order history, and rewards) require registration. When you create an account, you agree to:

We make reasonable efforts to display our products, colors, and details accurately, but we do not guarantee that your device's display of any color or image is accurate.

All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to:

  • Correct pricing or product description errors, even after an order has been submitted;
  • Limit quantities available for purchase (per order, per household, or per promotion); and
  • Discontinue any product or promotion at any time.

Inventory shown on the Site is not guaranteed. Because we operate multiple physical storefronts alongside the Site, an item may sell out in-store before your online order is processed. If we cannot fulfill your order, we will notify you and refund any charge for the unavailable item.

5. Orders and Payment

Placing an order constitutes an offer to purchase, which we may accept or decline in our discretion. A confirmation email acknowledges receipt of your order but does not by itself constitute acceptance.

You represent that you are authorized to use the payment method provided and that the billing information is accurate. We may verify payment and shipping information before processing. We reserve the right to cancel or refuse any order at any time, including for suspected fraud, resale, or violation of these Terms.

6. Shipping and Delivery

Shipping timelines, methods, and charges are described at checkout and on our Shipping Policy page. Risk of loss and title for items pass to you upon our delivery to the carrier. Delivery dates are estimates and are not guaranteed. Ninety Nine Boutique is not responsible for carrier delays, misdelivery, or theft after delivery, but we will assist you in filing carrier claims where possible.

7. Returns, Exchanges, and Refunds

Returns, exchanges, and refunds are governed by our Return Policy, which is incorporated into these Terms by reference. Certain items (including but not limited to final-sale, promotional, intimates, jewelry, and accessories) may not be eligible for return. Please review our Return Policy before purchasing.

8. Promotions, Discounts, and Rewards

Promotional codes, discounts, gift cards, and rewards are subject to the terms disclosed at issuance and may:

  • Not be combined with other offers unless expressly allowed;
  • Have expiration dates or minimum purchase requirements;
  • Be limited to one use per customer or household; and
  • Be canceled or modified by us at any time.

Codes obtained through unauthorized channels, resold, or used fraudulently will be voided.

9. Email and SMS Marketing

You may unsubscribe from email at any time by clicking "unsubscribe" and from SMS by replying STOP. Transactional messages (order confirmations, shipping updates, back-in-stock notifications you requested) may continue after you opt out of marketing.

10. User Content

If you post reviews, photos, comments, or other content ("User Content") to the Site or tag us on social media in connection with our products, you grant Ninety Nine Boutique LLC a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, publish, and display that content across our Site, marketing channels, and social media, with or without attribution.

You represent that your User Content is your own, does not infringe any third party's rights, and complies with these Terms. We may remove any User Content at our discretion.

11. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms;
  • Purchase products for commercial resale without our written authorization;
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or connected systems;
  • Interfere with, disrupt, or overload the Site (including via bots, scripts, or automated tools);
  • Reverse engineer, decompile, or attempt to extract source code from the Site;
  • Post content that is defamatory, harassing, obscene, hateful, or infringing; or
  • Use the Site to harvest personal information about other users.

12. Intellectual Property

The Site and its content — including text, graphics, logos, product photography, video, layout, and the "Ninety Nine Boutique" and "shopthe99" marks — are owned by or licensed to Ninety Nine Boutique LLC and are protected by U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. No other rights are granted. You may not copy, reproduce, republish, or distribute any Site content without our prior written permission.

13. Third-Party Links and Services

The Site may include links to third-party websites, tools, or services (including payment processors, analytics providers, shipping carriers, and social platforms). We do not control and are not responsible for the content, policies, or practices of third parties. Your use of any third-party service is at your own risk and governed by that party's terms.

14. Disclaimer of Warranties

THE SITE, THE SERVICES, AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Ninety Nine Boutique LLC does not warrant that the Site will be uninterrupted, secure, or error-free; that defects will be corrected; or that the Site or its servers are free of viruses or other harmful components.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINETY NINE BOUTIQUE LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT PURCHASED SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 90 DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Ninety Nine Boutique LLC and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Site or Services, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) your User Content.

17. Governing Law

These Terms and any dispute arising out of or related to the Site, Services, or any product purchased from Ninety Nine Boutique LLC are governed by the laws of the State of Alabama, without regard to its conflict of laws principles. Subject to Section 18 below, exclusive venue for any court proceeding shall be the state and federal courts located in Madison County, Alabama, and you consent to personal jurisdiction there.

18. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.

18.1 Agreement to Arbitrate. You and Ninety Nine Boutique LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, or any product purchased ("Dispute") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that (a) either party may bring an individual action in small claims court, and (b) either party may seek injunctive or equitable relief in court to protect intellectual property rights.

18.2 Arbitration Rules. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted by a single arbitrator in Madison County, Alabama, or, at your election, remotely or in the county of your residence. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

18.3 Class Action Waiver. YOU AND NINETY NINE BOUTIQUE LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found unenforceable, then the entirety of this Section 18 shall be null and void, but the remainder of the Terms shall remain in effect.

18.4 30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice of your decision to opt out to info@shopthe99.boutique within 30 days of first accepting these Terms. Your notice must include your full name, address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

18.5 Informal Dispute Resolution. Before initiating arbitration, the parties agree to attempt in good faith to resolve any Dispute informally by contacting info@shopthe99.boutique with a written description of the Dispute for a period of at least 60 days.

19. Termination

We may suspend or terminate your access to the Site or your account at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination (including Sections 10, 12, 14–18, and 20) will survive.

20. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy, Return Policy, Shipping Policy, and any other policies posted on the Site, constitute the entire agreement between you and Ninety Nine Boutique LLC regarding the Site and Services.
  • Severability. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
  • No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, carrier disruption, supply chain failures, labor disputes, and government actions.
  • Notices. Notices to us should be sent to info@shopthe99.boutique. We may provide notices to you via the email address on your account or by posting on the Site.
